Terms of Service
The rules that govern your use of TradePrep. We have written them to be readable — not to hide anything or create unexpected obligations.

Summary (not a substitute for reading the full terms)
Use TradePrep to manage customs documents and calculate duties lawfully. Pay your subscription on time. Do not upload fraudulent documents. You own your data. We own the platform. Disputes are resolved under Indian law. If something goes wrong, our liability is capped at three months of fees.

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and TradePrep ("TradePrep", "we", "us", "our"), a platform operated by Aman Gupta under Aurum Global Logistic (New Delhi — 110044, India) and accessible at tradeprep.in, governing your use of our services.
By registering an account, accessing the platform, or using any TradePrep service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accessing TradePrep on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
These Terms are a contract under the Indian Contract Act, 1872. They are also an "electronic contract" under the Information Technology Act, 2000 and do not require a physical signature to be enforceable. If you do not agree with any part of these Terms, you must not use the platform.
2. Description of Services
TradePrep provides a B2B SaaS platform designed for licensed Indian customs brokers and their importer/exporter clients. The platform includes:
- Document Management System (DMS): upload, store, organise, and track customs clearance documents including Bills of Lading, Airway Bills, commercial invoices, packing lists, Certificates of Origin, and all CBIC-recognised document categories
- Duty Calculator: calculate applicable customs duties (BCD, IGST, SWS, AIDC, CESS) for 12,771+ ITC-HS codes using CUSTADA FY 2025-26 rate data, including anti-dumping duties (ADD), countervailing duties (CVD), and safeguard duties
- HSN Lookup: search and verify Harmonised System Nomenclature codes, chapter notes, and BIS certification requirements
- BIS Compliance Checker: verify whether products require Bureau of Indian Standards (BIS) certification before import
- KYC Vault: securely store and manage client KYC documents including IEC, GSTIN, PAN, AD Code, and authorisation letters
- Client Portal: enable customs broker clients to view job status, upload documents, and communicate with their broker
- OCR Extraction: automatically extract structured data from uploaded documents using a three-tier pipeline (pdf-parse, Google Cloud Vision, and Claude AI)
- Email Notifications: automated status updates and alerts sent to brokers and clients at key stages of the clearance lifecycle
Features marked "Coming Soon" on the platform are not yet available. We may add, modify, or discontinue features at any time with reasonable notice to active subscribers.
3. User Accounts
To access most TradePrep features, you must create an account. Account registration and use are subject to the following conditions:
Eligibility
- You must be at least 18 years of age
- You must be a licensed customs broker (CHA licence), an importer/exporter with a valid IEC, or an authorised representative of either
- Use by individuals who are not engaged in lawful international trade activities is not permitted
Account responsibilities
- You are responsible for maintaining the confidentiality of your login credentials
- You must immediately notify us at support@tradeprep.in if you suspect unauthorised access to your account
- You are responsible for all activity that occurs under your account, whether authorised by you or not
- You must provide accurate and current information during registration and keep your profile details up to date
- One person or legal entity may not maintain more than one free account
Organisation accounts
- The first user to register an organisation becomes its admin and is responsible for managing team members and client access
- Admins may invite team members and clients — they are responsible for ensuring all users within their organisation comply with these Terms
- TradePrep is not responsible for disputes between customs brokers and their clients that arise from platform use

Billing terms
- Pro plan subscriptions are billed monthly in advance
- Payments are processed securely through our payment processor; TradePrep does not store card details
- Subscriptions automatically renew each month unless cancelled before the renewal date
- No refunds are provided for partial months; if you cancel mid-cycle, your access continues until the end of the paid period
- We reserve the right to modify pricing with 30 days advance notice to subscribers; price changes do not affect the current billing cycle
- Enterprise pricing is agreed separately and governed by a custom Order Form that supplements these Terms
- Failure to pay may result in downgrade to the Free plan or account suspension after a 7-day grace period
5. Acceptable Use
You may use TradePrep only for lawful purposes and in accordance with these Terms. The following activities are expressly prohibited:
Prohibited activities
- Using the platform to facilitate customs fraud, misdeclaration of goods, undervaluation of imports, or any violation of the Customs Act, 1962 or IGST Act, 2017
- Uploading fabricated, forged, or altered trade documents
- Attempting to circumvent Row Level Security controls or access data belonging to other organisations
- Using automated tools, bots, or scrapers to extract duty rate data, HSN data, or any other content from the platform for redistribution
- Reverse-engineering, decompiling, or attempting to extract the source code of the platform
- Uploading malware, ransomware, or any file designed to harm TradePrep infrastructure or other users
- Reselling or sublicensing access to the platform to third parties without explicit written authorisation from TradePrep
- Using the platform in a manner that violates any applicable Indian or international law, including export control regulations
- Impersonating another user, broker, or business entity
- Harassing, threatening, or abusing TradePrep staff or other users through the platform's communication features
TradePrep reserves the right to suspend or terminate accounts found to be in violation of this section without prior notice and without refund. We may also report violations to CBIC, DGFT, or other regulatory authorities where required by law.
6. Intellectual Property
TradePrep's intellectual property
- The TradePrep platform, its source code, design, user interface, duty calculation engine, database structure, OCR pipeline, and all associated documentation are the exclusive intellectual property of TradePrep and are protected under Indian copyright law and the IT Act 2000
- The "TradePrep" name, logo, and trademarks are proprietary and may not be used without written permission
- The CUSTADA duty rate data incorporated in the duty calculator is sourced from publicly available government notifications; TradePrep's value-add lies in the organisation, linkage, and calculation engine built on top of that data
Your content
- You retain all rights to the documents, data, and information you upload to TradePrep
- By uploading content, you grant TradePrep a limited, non-exclusive licence to process and store that content solely for the purpose of providing the services described in these Terms
- This licence terminates when you delete the content or close your account
- TradePrep will never use your trade documents or business data for any purpose other than service delivery
Feedback
- If you provide feedback, suggestions, or bug reports to TradePrep, you agree that we may use that feedback to improve the platform without any obligation to compensate you
7. Accuracy of Duty Calculations
TradePrep's duty calculator is based on CUSTADA FY 2025-26 data and applicable government notifications including Notification 45/2025-Customs. While we maintain 99.5% accuracy against reference data, the following disclaimers apply:
- Duty calculations provided by TradePrep are for informational and planning purposes only — they do not constitute an official assessment by CBIC or any customs authority
- The final assessable duty on any shipment is determined by the Custom House at the time of filing the Bill of Entry, and may differ from TradePrep's estimate
- ADD, CVD, and safeguard duty rates change frequently; TradePrep makes reasonable efforts to keep its database current but cannot guarantee real-time accuracy
- Classification decisions (HS code selection) remain the responsibility of the licensed customs broker; TradePrep provides lookup tools but does not classify goods on your behalf
- TradePrep is not liable for any excess duty paid, demurrage, or penalties arising from reliance on duty estimates without independent verification
We recommend that licensed customs brokers always verify duty calculations against the latest CBIC notifications and the official Customs Tariff before filing.
8. Limitation of Liability
To the maximum extent permitted under applicable Indian law, TradePrep's liability to you is limited as follows:
- TradePrep provides the platform "as is" and "as available" — we make no warranty that the service will be uninterrupted, error-free, or fit for any particular purpose beyond what is described in Section 2
- Our total cumulative liability for any claim arising from or related to these Terms or the platform shall not exceed the total subscription fees you paid to TradePrep in the three months preceding the event giving rise to the claim
- TradePrep is not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, regulatory penalties, or business interruption — even if advised of the possibility of such damages
- TradePrep is not liable for customs duty assessments, penalties, or detention costs that result from errors in documents you uploaded or HS codes you selected
- We are not liable for downtime or data loss caused by third-party services (Supabase, Google Cloud, Anthropic, Resend) that are outside our direct control
- Force majeure: we are not liable for failures caused by circumstances beyond our reasonable control, including government actions, natural disasters, or internet infrastructure failures
Nothing in this section limits liability that cannot be excluded under mandatory provisions of Indian law, including liability for fraud or wilful misconduct.
9. Indemnification
You agree to indemnify and hold harmless TradePrep, its officers, employees, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms or any applicable law
- Content or documents you upload that infringe the rights of a third party or violate any regulation
- Your use of the platform to facilitate customs fraud or misdeclaration
- Your use of duty calculations without appropriate professional verification
10. Termination
Termination by you
- You may close your account at any time by contacting support@tradeprep.in
- On account closure, your data will be retained for the retention periods specified in our Privacy Policy (primarily to satisfy the document retention obligations under the Customs Act, 1962)
- If you wish to request deletion of personal data following account closure, you may do so as described in Section 8 of the Privacy Policy
Termination by TradePrep
- We may suspend or terminate your account immediately and without notice if you violate the Acceptable Use Policy in Section 5, particularly for fraud-related or security-related violations
- For other material breaches of these Terms, we will give you 14 days notice and an opportunity to remedy the breach before termination
- We may also terminate or suspend the platform with 30 days notice if we decide to discontinue the service commercially
- On termination by TradePrep for reasons other than your breach, we will provide you with an export of your data in a portable format
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000, without regard to any conflict-of-law principles.
Dispute resolution process
- Step 1 — Informal resolution: before initiating formal proceedings, both parties agree to attempt good-faith resolution. Contact us at support@tradeprep.in with a written description of the dispute. We will respond within 15 business days.
- Step 2 — Mediation: if informal resolution fails, either party may refer the dispute to a mutually agreed mediator. Costs of mediation are shared equally.
- Step 3 — Arbitration: if mediation is unsuccessful, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India and proceedings shall be conducted in English.
- Jurisdiction: courts in India shall have exclusive jurisdiction over any matter that cannot be resolved through the above process or for which urgent injunctive relief is sought.
Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief from a competent court to prevent irreparable harm.
12. General Provisions
- Entire agreement: these Terms (together with the Privacy Policy and any Order Form for Enterprise customers) constitute the entire agreement between you and TradePrep and supersede all prior agreements regarding the subject matter
- Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force
- No waiver: failure by TradePrep to enforce any provision of these Terms does not constitute a waiver of the right to enforce it in the future
- Assignment: TradePrep may assign its rights and obligations under these Terms to a successor entity in connection with a merger or acquisition. You may not assign your account or rights without our written consent.
- Notices: legal notices to TradePrep must be sent by email to support@tradeprep.in with "Legal Notice" in the subject line. Notices to you will be sent to the email address on your account.
- Language: in the event of any discrepancy between an English version and any translation of these Terms, the English version prevails
- Updates: we may update these Terms at any time. Material changes will be communicated to registered users by email with 14 days advance notice. Continued use after the effective date constitutes acceptance.
